These Terms of Service (“Terms”) are a binding legal agreement between you and Kiteville Inc. (“Kiteville,” “we,” “us,” or “our”) governing your use of our websites, applications, and other offerings (collectively, the “Kiteville Platform”).

About Kiteville

Kiteville Inc. caters to lifestyles that deviate from traditional long-term renting or home ownership. We recognize that conventional hotel accommodations can often be prohibitively expensive and inflexible.

We strategically acquire by renting and fully design minimalist properties tailored for our community. This allows you the freedom to check in for a single night while traveling, explore neighborhoods for various activities, or stay for extended periods, making use of the ability to work from anywhere in the world.

With Kiteville, you’re freed from the constraints of long-term living arrangements, avoiding high upfront costs and the burdens of furnishings, utilities, and other liabilities. We handle all logistics, so you can live lightly and focus on what truly matters. Discover our furnished shared or private living spaces, each offering professional customer service, security, maintenance, and housekeeping to ensure a comfortable stay.

Kiteville Platform Overview

The Kiteville Platform allows users (“Members”) to publish, take part in, contract, offer, search for, and book services. Members who publish and offer services are referred to as “Stays,” while those who search for, book, or use services are “Guests.” Stays provide accommodations (“Accommodations”), activities, excursions, and events (“Experiences”), collectively referred to as “Stay Services” (each service being a “Listing”).

Kiteville (or its affiliates) may own or, on behalf of owners, control, offer, or manage any Listings or Stay Services. Kiteville is a party to contracts entered into directly between Stays and Guests and is not a real estate broker, travel agency, or insurer. We also maintain other terms and policies that supplement these Terms, such as our Privacy Policy and Payment Terms.

Guest Terms

1. Searching and Booking on Kiteville

1.1 Searching

You can search for Stay Services using criteria such as type of service, listing type, destination, travel dates, and number of guests. Filters can refine search results, which are based on relevance considering factors like price, availability, reviews, customer service, cancellation history, popularity, previous trips, saved Listings, and Stay requirements.

1.2 Booking

When you book a Listing, you agree to pay all charges, including the Listing price, applicable fees like Kiteville’s service fee, offline fees, taxes, and other items identified during checkout (collectively, “Total Price”). If you choose a different currency than the Stay’s set currency, the displayed price is based on a currency conversion rate determined by us. You also agree that Kiteville, via Kiteville Payments, may charge your Payment Method (as defined in the Payment Terms) to collect Damage Claim amounts.

Upon receiving booking confirmation, a contract for Stay Services (“Reservation”) is formed between you and the Stay. By making a Reservation, you agree to its terms, including these Terms and any rules, policies, or requirements in the Listing or during checkout. It is your responsibility to read and understand all terms before booking. Note that some Stays may work with a co-stay or as part of a team to provide their services.

1.3 Accommodation Reservations

An Accommodation Reservation grants you a limited license to enter, occupy, and use the Accommodation. The Stay retains the right to re-enter the Accommodation during your stay if it is: (i) reasonably necessary, (ii) permitted by your contract with the Stay, and (iii) allowed by applicable law. If you stay past checkout, the Stay has the right to make you leave, including by imposing reasonable overstay penalties. You must not exceed the maximum number of allowed guests.

1.4 Reservations for Experiences and Other Stay Services

An Experience or other Stay Service Reservation allows you to participate in, attend, or use that service. You are responsible for ensuring that you and anyone you invite meet minimum age, proficiency, fitness, or other requirements. Inform the Stay of any medical or physical conditions that may affect your ability to participate. Only those included as additional guests during the booking process may join an Experience or Stay Service.

2. Cancellations, Reservation Issues, Refunds, and Booking Modifications

2.1 Cancellations, Reservation Issues, and Refunds

If you cancel a Reservation, the refund amount is determined by the Stay's cancellation policy for that Reservation. Other policies may apply and determine your refund amount in certain situations. If a major event outside your control forces you to cancel, you may be eligible for a partial or full refund under our Major Disruptive Events Policy. If the Stay cancels or you experience a Reservation Issue, you may be eligible for rebooking assistance or a refund under our Rebooking and Refund Policy. Different policies apply to certain Listings, such as the Experiences Guest Refund Policy for Experiences Reservations. You may appeal a decision by contacting our customer service.

2.2 Booking Modifications

Guests and Stays are responsible for any booking modifications they agree to via the Kiteville Platform, channel partners such as Airbnb, Booking.com and Expedia, or through Kiteville customer service. They agree to pay any additional amounts, fees, or taxes associated with the booking modification.

3. Your Responsibilities and Assumption of Risk

3.1 Your Responsibilities

You are responsible for your actions and omissions and those of anyone you invite to join or access any Accommodation, Common Areas, or Stay Services. You must leave the Accommodation and Common Areas in the condition they were in when you arrived. You are responsible for paying reasonable Damage Claim amounts. Act with integrity, treat others with respect, and comply with applicable laws. If booking for a minor or bringing a minor to a Stay Service, you must be legally authorized to act on behalf of the minor and are responsible for their supervision.

3.2 Your Assumption of Risk

Many activities carry inherent risks, and you assume all risks arising from your use of the Kiteville Platform, including staying at any Accommodation, participating in any Experience, or using any Stay Service. It is your responsibility to investigate a Stay Service to determine if it is suitable for you. Stay Services may carry risks such as illness, injury, disability, or death, which you assume by choosing to participate.

Stay Terms

4. Cancellations, Reservation Issues, and Booking Modifications

4.1 Cancellations and Reservation Issues

If a Guest cancels a Reservation, the amount paid to you depends on the cancellation policy for that Reservation. As a Stay, avoid canceling on a Guest without a valid reason under our Major Disruptive Events Policy or applicable law. If you cancel without a valid reason, we may impose a cancellation fee and other consequences. If a Guest experiences a Reservation Issue, a Major Disruptive Event occurs, or a Reservation is canceled under Section 12, your payout will be reduced by any amount we refund or provide to the Guest and any other reasonable costs we incur. If a refund exceeds your payout, Kiteville (via Kiteville Payments) may recover that amount from you, including by deducting the refund from your future payouts. Kiteville’s Rebooking and Refund Policy, Major Disruptive Events Policy, and these Terms take precedence over your cancellation policy. If we expect to provide a refund, we may delay releasing any payout until a refund decision is made. For Stays offering Experiences, different cancellation policies and fees apply. Check each Policy for details on what is covered and your payout.

4.2 Booking Modifications

Stays and Guests are responsible for any Booking Modifications agreed to via the Kiteville Platform or Kiteville customer service and agree to pay any additional amounts, fees, or taxes associated with a Booking Modification.

5. Taxes

5.1 Stay Taxes

As a Stay, you are responsible for determining and fulfilling your obligations to report, collect, remit, or include in your price any applicable VAT, occupancy taxes, tourist taxes, income taxes, or other taxes ("Taxes").

5.2 Collection and Remittance by Kiteville

In jurisdictions where Kiteville facilitates the collection and/or remittance of Taxes on behalf of Stays, you authorize Kiteville to collect and/or remit such Taxes to the relevant Tax authority. Any collected and/or remitted Taxes are identified on transaction records. If the collected Taxes are insufficient, Kiteville may seek additional amounts from Members, including by deducting such amounts from future payouts. Your sole remedy for Taxes collected by Kiteville is a refund from the applicable Tax authority. Kiteville retains the right to cease collection and remittance of Taxes in any jurisdiction, with prior notice to affected Members.

5.3 Tax Information

In certain jurisdictions, Tax regulations may require Kiteville to collect and/or report Tax information about you or withhold Taxes from payouts. If you fail to provide sufficient documentation, we may withhold payouts as required by law until documentation is provided. Kiteville may issue invoices or similar documentation for VAT, GST, consumption, or other Taxes on your behalf to facilitate accurate tax reporting.

General Terms

6. Reviews

After each Stay Service, Guests and Stays can review each other. Your review must be accurate and free from discriminatory, offensive, defamatory, or otherwise inappropriate language. Reviews are not verified by Kiteville for accuracy and may be incorrect or misleading.

7. Content

You can provide feedback, text, photos, audio, video, and other content (“Content”) on the Kiteville Platform. By doing so, you grant Kiteville a license to use, store, copy, modify, distribute, publish, and exploit this Content to provide and promote the Kiteville Platform. If your Content includes personal information, it will be used in compliance with data protection laws. Content created or facilitated by Kiteville may be owned by Kiteville. You are responsible for all Content you provide and must ensure it does not violate the intellectual property or privacy rights of others. Content must comply with our Content Policy and Nondiscrimination Policy. Kiteville may offer translation services for your Content, but accuracy is not guaranteed.

8. Fees

Kiteville may charge fees to Stays and Guests for using the Platform. Information about service fees can be found on our Service Fees page. Fees are disclosed to Guests before booking and are generally non-refundable. Kiteville may change fees with prior notice to Members. Fee changes do not affect prior bookings. If you disagree with a fee change, you can terminate the agreement as per Section 10.2.

9. Kiteville Platform Rules

9.1 Rules

You must follow these rules and not help or encourage others to break them:

  • Act with integrity and treat others with respect.
  • Do not lie, misrepresent, or impersonate others.
  • Be polite and respectful in communications.
  • Do not evade enforcement of Terms, Policies, or Standards (e.g., by creating duplicate accounts).
  • Follow the Nondiscrimination Policy; do not discriminate or harass others.
  • Do not scrape, hack, reverse engineer, compromise, or impair the Platform.
  • Do not use automated means (bots, crawlers, scrapers) to access or interact with the Platform.
  • Do not hack, avoid, remove, impair, or circumvent security measures.
  • Do not decipher, decompile, disassemble, or reverse engineer software or hardware.
  • Do not damage or adversely affect the performance of the Platform.
  • Only use the Platform as authorized by these Terms or another agreement with us.
  • Use personal information of others only as necessary for transactions on the Platform.
  • Do not send commercial messages without express consent.
  • Use Content on the Platform only as necessary for using the Platform as a Guest or Stay.
  • Do not use Content without permission from the owner or authorization from us.
  • Do not request or accept bookings or payments outside the Platform.
  • Do not require or encourage Guests to interact with third-party sites unless authorized.
  • Do not manipulate search algorithms.
  • Do not book Stay Services unless you intend to use them.
  • Do not use, copy, display, mirror, or frame the Platform, Content, or branding without consent.
  • Honor legal obligations and follow applicable laws, including privacy and data protection laws.
  • Handle others’ personal information legally and with authorization.
  • Read and follow all Terms, Policies, and Standards.
  • Do not organize or facilitate unauthorized parties or events.
  • Do not use Kiteville’s name, logo, or trademarks without permission.
  • Do not use or register confusingly similar domain names, social media handles, or trademarks.
  • Do not offer Stay Services that violate laws or agreements.
  • Do not engage in or facilitate human trafficking or prostitution.
9.2 Reporting Violations

If you believe someone poses an imminent risk of harm, contact local authorities first. Report any violations of Standards to Kiteville. Kiteville may request a copy of reports made to authorities. Kiteville is not obligated to take action on reports unless required by law.

9.3 Copyright Notifications

If you believe Content on the Kiteville Platform infringes copyrights, notify us in accordance with our Copyright Policy.

10. Termination, Suspension, and Other Measures

10.1 Term

This agreement starts when you access the Kiteville Platform (e.g., by creating an account) and remains in effect until terminated by you or us according to these Terms.

10.2 Termination

You can terminate this agreement anytime by emailing us or deleting your account. Kiteville can terminate this agreement and your account for any reason with 30 days' notice via email or other contact information you provided. We may also terminate immediately without notice if you breach these Terms, violate our policies, or applicable laws, or if we believe it's necessary to protect Kiteville, its Members, or third parties. Inactivity for over two years may also lead to termination without notice.

10.3 Member Violations

If you (i) breach these Terms, our policies, or standards, (ii) violate laws or third-party rights, or (iii) if Kiteville deems it necessary to protect the company, its Members, or third parties, we may, with or without notice:

  • Suspend or limit your access to the Platform and/or your account.
  • Remove or restrict visibility of Listings, Reviews, or other Content.
  • Cancel pending or confirmed bookings.
  • Revoke any special status associated with your account.

For minor violations or when deemed appropriate, we will notify you and provide an opportunity to resolve the issue. You may appeal actions taken by contacting customer service. If a Reservation is canceled, the amount paid to the Stay will be reduced by the refund amount given to the Guest and any other costs incurred.

10.4 Legal Mandates

Kiteville may take necessary actions to comply with laws, court orders, or requests from law enforcement or governmental bodies, including measures described in Section 12.3.

10.5 Effect of Termination

If you are a Stay and terminate your account, all confirmed bookings will be canceled, and Guests will receive a full refund. If you are a Guest, any confirmed bookings will be canceled, and refunds will depend on the Reservation’s cancellation policy. Termination of the agreement does not entitle you to restore your account or any Content. If your access to the Platform is limited, or your account is suspended or terminated by us, you cannot register a new account or access the Platform through another Member's account.

10.6 Survival

Parts of these Terms that naturally survive termination will remain in effect, including Sections 1 through 25.

11 Modification

Kiteville may modify these Terms at any time. Material changes will be posted on the Platform with an updated "Last Updated" date. We will notify you of material changes at least 30 days before they take effect. If you disagree with the revised Terms, you may terminate the agreement immediately. Continuing to use the Platform after the effective date means you accept the changes.

12 Resolving Complaints and Damage Claims

If a Member provides valid evidence that you, your guest(s), or your pet(s) have:

  • Damaged the Member’s property or property they are responsible for,
  • Caused loss of booking income or other consequential damages,
  • Incurred cleaning costs exceeding the Member’s cleaning fee,

The Member can notify Kiteville and seek compensation through the Resolution Center. You will be notified of the Damage Claim and can respond. If you agree to pay, or if Kiteville determines the Damage Claim is valid, Kiteville may collect the amount from you. Kiteville may also seek recovery from your insurance policies and pursue any legal remedies available. You agree to cooperate in good faith, provide requested information, execute documents, and take reasonable actions related to Damage Claims, Member complaints, insurance claims, or other claims related to your Stay Services.

13 Kiteville’s Role

Kiteville provides a platform for Members to publish, offer, search for, and book Stay Services. While we strive for great experiences, we do not control the conduct of Guests and Stays. Kiteville may monitor and verify information on the Platform but is not obligated to do so. We may review, disable, remove, or edit Content to:

  • Operate, secure, and improve the Platform.
  • Ensure compliance with these Terms.
  • Comply with legal requirements.
  • Address harmful or objectionable Content.
  • Enforce quality and eligibility criteria.

Kiteville administers its policies and standards at its discretion. Members must cooperate with Kiteville during investigations related to the Platform's use or abuse. Kiteville is not an agent for any Member, except where Kiteville Payments acts as a collection agent under the Payments Terms.

14 Member Accounts

You must register an account to access many features of the Kiteville Platform. Registration is for legal entities, partnerships, and individuals 18 years or older. You must provide accurate, current, and complete information and keep it updated. You cannot transfer your account. You are responsible for your account's security and any activities under it. Notify Kiteville immediately if your credentials are lost, stolen, or compromised. Kiteville may verify your identity and background using third-party databases and public records.

15 Disclaimer of Warranties

The Kiteville Platform and all Content are provided "as is" without warranty. Kiteville does not endorse or guarantee the existence, conduct, performance, safety, quality, legality, or suitability of any Guest, Stay, Stay Service, Listing, or third party. We do not guarantee uninterrupted service or that verification checks will prevent future misconduct. Any "verified" status indicates only that a relevant process was completed.

16 Limitations on Liability

Kiteville and its affiliates are not liable for any incidental, special, exemplary, or consequential damages, including lost profits, data, or goodwill, service interruption, computer damage, or system failure. Our liability is limited to the amount paid to Stays or Guests in the 12 months before the event giving rise to liability, or $100. These limitations are fundamental to our agreement.

17 Indemnification

You agree to release, defend, indemnify, and hold Kiteville harmless from any claims, liabilities, damages, losses, and expenses, including legal and accounting fees, arising from:

  • Your breach of these Terms or policies.
  • Improper use of the Platform.
  • Interaction with any Member or use of Stay Services.
  • Failure to accurately report, collect, or remit Taxes.
  • Breach of laws or third-party rights.

18 Contracting Entities

Your contracting entity with Kiteville depends on your country of residence or establishment. If you change your residence, the applicable version of the Terms will change based on your new country.

19 U.S. Governing Law and Venue

For U.S. residents, these Terms are governed by California and U.S. federal laws. Judicial proceedings must be brought in San Francisco, California, unless agreed otherwise.

20 U.S. Dispute Resolution and Arbitration Agreement

All disputes between you and Kiteville will be resolved through binding individual arbitration, including a class action waiver and jury trial waiver. This Arbitration Agreement supersedes all prior versions.

21. Dispute Resolution Process

Kiteville supports a consumer-friendly dispute resolution process, consisting of:

  • Informal negotiation with Kiteville's customer service team.
  • Binding arbitration if necessary. Both parties can also use small claims court as an alternative.
21.1 Pre-Arbitration Dispute Resolution

At least 30 days before starting arbitration, you must send Kiteville a written notice of the dispute ("Pre-Dispute Notice") and attempt to resolve it informally. Send your notice to Kiteville’s email [email protected]. Kiteville will send notices to your account's email address. The notice must include the date, your name, mailing address, username, email address, signature, a brief description of the dispute, and the relief sought. If not resolved in 30 days, arbitration can commence with the required notice and evidence attached.

21.2 Agreement to Arbitrate

You and Kiteville agree to settle any dispute related to these Terms or the Kiteville Platform through binding arbitration. An arbitrator will decide if this Arbitration Agreement applies to a dispute.

21.3 Exceptions to Arbitration

The following claims are exceptions to arbitration and will be brought in court:

  • Intellectual property rights violations.
  • Emergency injunctive relief based on urgent circumstances.
  • Public injunctive relief.
  • Vexatious litigation claims.
  • Individual claims of sexual assault or harassment.

Public injunctive relief requests will proceed after arbitration.

21.4 Arbitration Forum Rules and Governing Law

This agreement is governed by the Federal Arbitration Act. The arbitration will be administered by ADR Services, Inc. (ADR) or, if necessary, the American Arbitration Association (AAA), following their respective rules and this Arbitration Agreement. If ADR or AAA cannot administer, another forum will be selected.

21.5 Arbitration Fees and Costs

Arbitration fees will follow ADR's fee schedule. If your monthly income is below 300% of the federal poverty guidelines, you may qualify for a fee waiver. Kiteville will pay your share of arbitrator fees if you provide proof of income.

21.6 Claims Brought for Improper Purpose

Either party can request sanctions for groundless or bad faith claims, potentially resulting in the other party's reasonable attorneys’ fees and costs. Arbitrations filed in violation of this agreement may be dismissed, and damages awarded for non-compliance.

21.7 Arbitrator’s Decision

The arbitrator will issue a written decision with findings and conclusions. This decision can be entered in court. Relief can only be awarded on an individual basis.

21.8 Jury Trial Waiver

Both parties waive the right to a jury trial for all arbitrable disputes.

21.9 No Class Actions or Representative Proceedings

Both parties waive the right to participate in class actions or representative proceedings. If a claim is found non-arbitrable, it will proceed in court separately.

21.10 Mass Action Waiver

Both parties waive the right to resolve disputes as part of a Mass Action (100 or more similar claims filed within 180 days). The arbitrator of the first claim will decide if claims are part of a Mass Action. This provision does not prevent mass settlement of claims.

21.11 Modification of Arbitration Rules – Mass Action Batching Requirements

If, despite Section 22.13, an arbitration becomes part of a Mass Action, the parties will group arbitration demands into batches of up to 200 claimants each, alphabetically by last name or business name. For instance, the first 200 claimants listed will form the first batch, the next 200 the second, and so on. Each batch will be randomly assigned a sequential number and arbitrated one at a time in order. While one batch is arbitrated, the remainder will be put on hold by the arbitration provider, unless agreed otherwise by the parties or instructed by the provider. Each batch must be resolved within 240 days of its pre-hearing conference. However, if a claimant’s demand hasn’t had a pre-hearing conference within 2 years of the latest-filed demand in the Mass Action, that claimant may choose to pursue their claims in court, subject to Sections 21 and 22.12 of these Terms.

21.12 Modifications of Arbitration Rules - Offers of Judgment

At least 10 days before the arbitration hearing date, either you or Kiteville Inc. may present a written offer of judgment to the other party, specifying terms for a judgment. If the offer is accepted, along with proof of acceptance, it will be submitted to the arbitration provider for an award. If not accepted before the hearing or within 30 days after it’s made (whichever is sooner), the offer is considered withdrawn and cannot be used as evidence in the arbitration, except for determining costs (including all fees paid to the arbitration provider). If one party’s offer isn’t accepted and the other party fails to obtain a more favorable award, the second party cannot recover their costs after the offer and must cover the costs of the offering party (including all fees paid to the arbitration provider) from the time the offer was made.

21.13 Severability

If any part of this Arbitration Agreement is found illegal or unenforceable, except as stated in Section 22.11, that part will be separated, and the rest of the Arbitration Agreement will remain fully effective.

21.14 Amendment to Agreement to Arbitrate

If Kiteville Inc. changes this Section 22 after you last accepted these Terms (or any subsequent changes), you can decline the change by sending a written notice within 30 days of the effective date. Your notice must include your name, address, the date, your Kiteville Inc. username, the email address used for your account, your signature, and a clear statement opting out of the amended Section 22. Send your notice to: [Kiteville Inc Address, Attn: Arbitration Opt-Out], or email it to [email protected]. Rejecting a change doesn’t cancel your prior consent to earlier arbitration agreements with Kiteville Inc. (or any later changes), which remain valid for any disputes with Kiteville Inc.

21.15 Survival

This Section 22 remains valid even if you stop using the Kiteville Inc. Platform or close your account, except as specified in Section 22.12 and subject to Section 12.6.

22. Rest of World Dispute Resolution, Venue, and Governing Law

For residents or establishments outside the United States, China, and Brazil, these Terms are governed by Irish law. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply. If you are an individual consumer, you may bring legal actions in the courts of your residence or in Ireland. If Kiteville Inc. seeks to enforce its rights against you as a consumer, it may only do so in your jurisdiction's courts. If you are a business, you agree to the exclusive jurisdiction of the Irish courts.

23. Miscellaneous

23.1 Other Terms Incorporated by Reference

Various policies and terms like Stay Damage Protection and others linked within these Terms apply to your use of the Kiteville Platform. They are incorporated by reference into this agreement with Kiteville Inc.

23.2 Interpreting these Terms

These Terms, along with any additional terms, conditions, policies, guidelines, and disclosures on the Kiteville Platform, constitute the entire agreement between you and Kiteville Inc. They supersede any prior oral or written agreements. These Terms do not confer rights or remedies on anyone other than you and Kiteville Inc. If any part of these Terms is found invalid, the rest remains valid.

23.3 No Waiver

Kiteville Inc.'s failure to enforce any right or provision in these Terms does not waive that right unless acknowledged in writing. Both parties' exercise of rights under these Terms is without prejudice to other available remedies.

23.4 Assignment

You cannot assign this agreement without Kiteville Inc.'s consent. Kiteville Inc. may assign this agreement with 30 days' notice.

23.5 Notice

Unless specified otherwise, Kiteville Inc. may electronically notify you via email, Kiteville Platform notification, messaging services (including SMS and chat), or other contact methods you provide.

23.6 Third-Party Services

The Kiteville Platform may link to Third-Party Services with different terms and privacy practices. Kiteville Inc. does not endorse these services and is not responsible for them.

23.7 Google Terms

Translations on the Kiteville Platform powered by Google are subject to Google’s terms, disclaiming all warranties.

23.8 Apple Terms

Downloading Kiteville Inc.'s app from the Apple App Store requires agreeing to Apple’s terms.
